1. Overview
These Terms & Conditions govern your use of gramup.net and any engagement with Gramup Digital Agency (“Gramup,” “we,” “us”) for web design, SEO, branding, or related services.
By using our website or entering into a project with us, you agree to these terms. If you do not agree, please do not use our services.
2. Our Services
Gramup provides:
The specific scope, deliverables, timeline, and investment for any project are defined in a written proposal or project agreement sent to you before work begins. These terms apply alongside that agreement.
3. Project Agreements & Scope
3.1 Proposals:
Every project begins with a written proposal outlining scope, deliverables, timeline, and cost. Work begins only after you accept the proposal in writing (email acceptance is sufficient) and pay the required deposit.
3.2 Scope changes:
If you request changes beyond the agreed scope during a project, we will notify you of any impact on cost or timeline before proceeding. We will not proceed with out-of-scope work without written agreement on the revised cost.
3.3 Client responsibilities:
You are responsible for providing us with the content, assets, feedback, and approvals we need to complete your project on time. Delays caused by late client responses may affect the project timeline. We are not liable for delays resulting from your failure to provide required materials.
4. Payment Terms
4.1 Structure:
Projects are billed in milestones:
4.2 Method:
All payments are processed via Stripe. Invoice payment terms are 7 days from the invoice date unless otherwise agreed in writing.
4.3 Late payment:
Invoices unpaid after 14 days may incur a late payment fee of 1.5% per month on the outstanding balance. We reserve the right to pause work on your project until outstanding invoices are settled.
4.4 Refunds:
Deposits are non-refundable once work has commenced. If you cancel a project after work has begun, you are responsible for payment of all work completed up to the point of cancellation.
5. Intellectual Property & Ownership
5.1 Your content:
Any content, logos, images, or materials you provide to us remain your property at all times.
5.2 Completed work:
Upon receipt of final payment, all custom design files, source code, and deliverables created for your project transfer to you in full. You own the completed work outright.
5.3 Third-party assets:
If your project includes licensed fonts, stock images, plugins, or third-party software, their respective licences govern your use of those assets. We will notify you of any third-party licences that require renewal or management.
5.4 CONVERT Framework:
The CONVERT Framework name and methodology are proprietary to Gramup. We apply it to your project; you do not acquire rights to the framework itself.
5.5 Portfolio rights:
Unless you request otherwise in writing before the project begins, we reserve the right to display completed work in our portfolio and case studies. We will not disclose confidential business information without your permission.
6. White-Label Partnerships
6.1 Confidentiality:
We will not identify your business as a white-label client to any third party. All deliverables are provided without Gramup branding unless explicitly requested.
6.2 End client contact:
We will not make direct contact with your end clients unless you explicitly authorise us to do so in writing for a specific purpose.
6.3 NDAs:
Non-disclosure agreements are available on request and must be signed before project commencement if required.
7. SEO Services
7.1 Timeline expectations:
SEO results typically take 3–6 months to produce measurable outcomes. We do not guarantee specific rankings, traffic levels, or lead volumes. We do commit to applying proven methodology, transparent reporting, and honest communication throughout every engagement.
7.2 Algorithm changes:
Search engine algorithms change. We are not liable for ranking fluctuations caused by third-party algorithm updates outside our control.
7.3 Minimum commitment:
SEO engagements require a minimum 6-month commitment from the start date, as agreed in writing at proposal acceptance.
8. Confidentiality
Both parties agree to treat any non-public information shared during the course of a project as confidential. This includes business strategies, pricing, client details, and project specifics. This obligation continues for 2 years after the project ends.
9. Warranties & Disclaimers
9.1 Our work:
We warrant that all work we deliver is original, created by our team, and free of known third-party IP infringement (subject to assets you supply to us).
9.2 Website performance:
We do not guarantee specific conversion rates, revenue outcomes, or business results from any website, SEO, or branding project. We commit to applying best-practice methodology and transparent communication.
9.3 Third-party platforms:
We are not responsible for downtime, changes, or failures on third-party platforms (WordPress, hosting providers, Google, etc.) that affect your website after launch.
10. Limitation of Liability
To the maximum extent permitted by law, Gramup’s total liability to you for any claim arising from or related to our services is limited to the total amount paid by you for the specific project giving rise to the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunity.
11. Termination
11.1 By you:
You may terminate a project at any time by written notice. You remain liable for payment of all work completed to the date of termination.
11.2 By us:
We reserve the right to terminate a project if you breach these terms and fail to remedy the breach within 14 days of written notice, or if continued engagement would require us to act unethically or illegally.
11.3 Upon termination:
We will deliver all completed work to you on receipt of payment for work done to date. Unfinished work is delivered at our discretion.
12. Governing Law & Disputes
These terms are governed by the laws of the United Arab Emirates (UAE). In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation before pursuing formal legal proceedings.
If a dispute cannot be resolved through negotiation within 30 days, it may be referred to mediation or arbitration as agreed between both parties.
13. Changes to These Terms
We may update these terms from time to time. The current version will always be available at gramup.net/terms-and-conditions. Continued use of our services after any update constitutes acceptance of the revised terms.
